These Terms of Service ("Terms") govern your access to and use of the Duo Threads wholesale website, www.duothreads.com, including all associated content, products, features, services, and purchasing opportunities (collectively, the "Services").

Throughout these Terms, "Duo Threads," "we," "us," and "our" refer to Duo Threads. "Retailer," "customer," "you," and "your" refer to the business or individual accessing or purchasing through our wholesale platform.

Our wholesale website is powered by Shopify, which provides the e-commerce platform through which we offer our products and services.

By accessing our wholesale website, creating an account, or placing an order, you acknowledge and agree to these Terms of Service and our applicable policies.

If you do not agree to these Terms, you should not access or use our wholesale Services.

These Terms do not limit any rights or remedies that cannot be waived under applicable law.

1. Wholesale Account Eligibility & Access

Duo Threads operates a wholesale platform intended for legitimate retail businesses and approved wholesale partners.

Wholesale purchasing privileges may require account registration, business verification, and approval by Duo Threads.

By applying for or maintaining a wholesale account, you represent and agree that:

• You operate or are authorized to represent a legitimate retail business.

• All information provided during registration and purchasing is accurate, complete, and current.

• You will provide valid business credentials, resale certificates, or tax documentation when requested.

• Your wholesale account will be used only by your authorized business representatives.

• You will comply with all applicable wholesale policies, licensing requirements, and purchasing conditions.

Wholesale accounts are non-transferable and may not be shared with unauthorized businesses or individuals.

Retailers are responsible for maintaining the security of their login credentials and for activity conducted through their accounts.

Duo Threads reserves the right to approve, deny, suspend, or terminate wholesale account access in accordance with applicable law.

2. Products & Merchandise

Duo Threads offers wholesale merchandise, including apparel, accessories, needlepoint products, custom merchandise, and other products.

Merchandise may be offered as:

• Ready-to-ship inventory.

• Made-to-order merchandise.

• Custom or personalized products.

• Limited-edition or seasonal collections.

We make reasonable efforts to accurately represent our products, including descriptions, colors, sizing, materials, and photographs.

However, minor variations may occur due to production methods, material availability, and differences in digital displays.

Product descriptions, pricing, availability, and offerings may change without notice.

Duo Threads reserves the right to discontinue merchandise, adjust available quantities, or limit product availability when necessary.

3. Wholesale Orders & Acceptance

Placing an order constitutes an offer to purchase merchandise from Duo Threads.

All orders are subject to acceptance, inventory availability, production capacity, applicable minimum order requirements, and any necessary account verification.

Duo Threads reserves the right to accept, decline, modify, or cancel an order, subject to applicable law.

An order is considered confirmed once accepted by Duo Threads and any required payment information, artwork approvals, and order details have been received.

Submission of an order does not guarantee immediate production or shipment.

Retailers are responsible for reviewing all order details, including product selections, quantities, sizes, colors, personalization, shipping addresses, and requested delivery dates.

Errors or omissions in submitted information may result in production delays or additional charges.

4. Wholesale Pricing, Payments & Taxes

Wholesale pricing is available to approved retailers and may be subject to purchasing minimums, product-specific requirements, or additional conditions.

Prices, promotions, discounts, and product availability are subject to change without prior notice.

Unless expressly stated otherwise, listed prices do not include applicable taxes, shipping charges, handling fees, or additional services.

Retailers are responsible for providing accurate billing information and ensuring that all payments are completed according to their approved terms.

Payment terms, when offered, must be authorized by Duo Threads.

Retailers are responsible for maintaining any required resale certificates, sales tax exemptions, or other business documentation.

Failure to comply with payment requirements may result in delayed order processing, suspension of purchasing privileges, or account termination.

5. Authorized Resale Channels & Marketplace Restrictions

Duo Threads merchandise purchased through our wholesale program is intended for resale through authorized retail channels.

Authorized Sales Channels

Approved retailers may sell authentic Duo Threads merchandise through:

• Their independently operated physical retail storefronts.

• Their independently operated e-commerce websites.

Retailers may also promote Duo Threads merchandise through their business social media accounts, provided that purchases are directed through an authorized sales channel.

Retailers participating in approved Duo Threads programs, including Shopify Collective, may offer merchandise through their own authorized e-commerce websites in accordance with applicable program agreements.

Prohibited Third-Party Marketplaces

Retailers are strictly prohibited from listing, advertising for sale, distributing, or reselling Duo Threads merchandise through third-party marketplaces, auction websites, resale platforms, or similar services.

Prohibited platforms include, but are not limited to:

• eBay

• Facebook Marketplace

• Poshmark

• Mercari

• Vinted

• Etsy

• Faire

• Other third-party marketplace, auction, or resale platforms

These restrictions apply to all merchandise purchased through Duo Threads' wholesale program unless express written authorization has been provided by Duo Threads.

Retailers may not transfer wholesale merchandise to unauthorized third-party sellers for resale through prohibited channels.

Compliance

Failure to comply with authorized resale requirements may result in corrective action, including requests to remove unauthorized listings, suspension of wholesale purchasing privileges, or termination of the wholesale relationship.

Duo Threads reserves the right to investigate suspected violations and take appropriate action consistent with applicable law and existing agreements.

6. Minimum Advertised Price & Brand Representation

Retailers must comply with any applicable Minimum Advertised Price (MAP) Policy, brand guidelines, licensing restrictions, and other written retailer requirements provided by Duo Threads.

Where a MAP Policy applies, retailers may not advertise covered merchandise below the established minimum advertised price except as expressly permitted by that policy.

Retailers are responsible for maintaining accurate product descriptions and representing Duo Threads merchandise appropriately.

Retailers may not misrepresent product origins, materials, licensing, brand affiliations, or authenticity.

MAP requirements and enforcement procedures are governed by Duo Threads' separately issued MAP Policy, where applicable.

Nothing in these Terms is intended to establish minimum resale prices or restrict retailers from independently determining their actual selling prices.

7. Production & Processing Times

Wholesale production timelines vary based on seasonal demand, order complexity, product availability, and current production capacity.

Our standard estimated production turnaround times are:

Production turnaround begins once an order is confirmed, required artwork or proofs are approved, and necessary materials are available.

Business days exclude weekends and observed company holidays.

These timelines represent production time before shipment and do not include carrier transit time.

Orders requiring multiple production processes or custom materials may require additional time.

All turnaround estimates are subject to current production capacity and are not guaranteed unless expressly confirmed by Duo Threads.

8. Custom Orders & Artwork Approval

Custom and personalized merchandise may require additional processing, artwork preparation, material sourcing, and production time.

Retailers are responsible for reviewing and approving all artwork, proofs, spelling, logos, colors, sizing, and customization details before production begins.

Approval of a proof authorizes Duo Threads to proceed with production according to the approved specifications.

Changes requested after approval or after production has begun may not be possible and may result in additional charges or extended turnaround times.

Retailers submitting custom artwork, trademarks, logos, or other protected materials represent that they have the necessary rights and permissions for their intended use.

Duo Threads reserves the right to decline custom orders that cannot be produced in compliance with applicable licensing, trademark, intellectual property, or production requirements.

Custom and personalized merchandise is final sale except as otherwise provided in our Wholesale Return & Refund Policy or required by applicable law.

9. Rush Orders

Rush production may be available upon request, subject to current capacity, material availability, and order requirements.

Rush requests must be reviewed and approved by Duo Threads before an expedited timeline is confirmed.

Additional rush production fees may apply.

Expedited shipping does not automatically include expedited production.

Submitting a rush request does not guarantee approval or a specific shipment or delivery date.

10. Shipping & Delivery

Shipping methods, charges, and estimated delivery times are determined based on order details, package specifications, shipping destination, and available carrier services.

Production turnaround and shipping transit time are separate.

Duo Threads determines whether orders containing ready-to-ship and made-to-order merchandise are shipped together or separately on a case-by-case basis.

Partial shipments are not guaranteed.

Shipping and delivery dates are estimates unless expressly confirmed otherwise.

Duo Threads is not responsible for carrier delays or other circumstances outside our reasonable control, subject to applicable law.

To the fullest extent permitted by law, title and risk of loss pass to the retailer when merchandise is transferred to the shipping carrier, unless otherwise agreed in writing.

11. Returns, Refunds & Merchandise Claims

Wholesale returns are governed by our Wholesale Return & Refund Policy.

Eligible merchandise may be requested for return within 30 days of delivery, subject to prior authorization and merchandise condition requirements.

Approved standard wholesale returns are subject to a 20% restocking fee.

Retailers are responsible for return shipping expenses associated with standard approved returns. Duo Threads will provide return shipping labels, and applicable shipping costs will be deducted from the approved refund.

Custom apparel, custom accessories, personalized merchandise, and needlepoint canvases are final sale and are not eligible for standard returns or exchanges.

Damaged, defective, or incorrect merchandise should be reported within 7 days of delivery.

Approved claims involving damaged, defective, or incorrect merchandise will be resolved through replacement at no additional charge.

Nothing in this section limits remedies required by applicable law.

12. Order Changes & Cancellations

Retailers must submit order modification or cancellation requests as soon as possible.

Changes and cancellations are subject to order status, production progress, and approval by Duo Threads.

Orders that have entered production, been customized, or shipped may not be eligible for cancellation or modification.

Approved changes may result in additional charges or adjusted turnaround estimates.

13. Intellectual Property & Authorized Marketing Materials

All Duo Threads trademarks, logos, product designs, artwork, photographs, text, website content, and other proprietary materials are owned by Duo Threads or their respective rights holders.

The purchase of merchandise does not transfer ownership of any intellectual property rights.

Approved retailers may use product photographs, descriptions, and marketing materials expressly supplied or authorized by Duo Threads solely to promote and resell authentic merchandise through authorized channels.

Retailers may not reproduce, manufacture, copy, modify, or create derivative products using Duo Threads' designs, artwork, trademarks, or other protected materials without prior written authorization.

Any use of collegiate, sorority, organizational, or other licensed artwork must comply with applicable licensing requirements.

Duo Threads reserves the right to revoke marketing permissions when necessary to protect its intellectual property, brand integrity, or licensing obligations.

14. Third-Party Services & Links

Our website may contain links to third-party websites, applications, and services.

Duo Threads does not control and is not responsible for the content, policies, practices, or availability of third-party platforms.

Use of third-party services may be subject to separate terms and conditions established by those providers.

Retailers are responsible for reviewing applicable third-party terms before using such services.

15. Relationship with Shopify

Our wholesale website is powered by Shopify, which provides the e-commerce platform supporting our Services.

Purchases made through our wholesale website are transactions directly between the retailer and Duo Threads.

Shopify is not the seller of Duo Threads merchandise and is not responsible for the fulfillment, quality, or performance of products purchased from Duo Threads.

To the fullest extent permitted by applicable law, Shopify and its affiliates are not liable for claims arising from transactions between Duo Threads and its retailers.

16. Privacy

Our Privacy Policy describes how we collect, use, process, disclose, and protect personal information.

By using our Services, you acknowledge that you have reviewed our Privacy Policy.

Shopify and other authorized service providers may process information necessary to operate our website, process transactions, and support related services.

17. Feedback & Submissions

If you provide feedback, suggestions, reviews, or other materials relating to Duo Threads' products or services, you grant Duo Threads a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such feedback for legitimate business, operational, and promotional purposes.

You represent that you have the necessary rights to provide any submitted materials and that such materials do not violate third-party rights.

Duo Threads reserves the right to remove submissions that are unlawful, misleading, inappropriate, or otherwise inconsistent with these Terms.

18. Errors, Inaccuracies & Omissions

We make reasonable efforts to ensure that product descriptions, prices, availability, and other website information are accurate.

Occasionally, errors or omissions may occur.

Duo Threads reserves the right to correct inaccuracies, update information, or cancel affected orders when necessary, subject to applicable law.

If an order is canceled after payment has been collected, any required refund will be issued in accordance with applicable law.

19. Prohibited Uses

Retailers and website users agree not to:

• Use our Services for unlawful or fraudulent purposes.

• Violate applicable laws, regulations, or licensing requirements.

• Infringe upon intellectual property rights.

• Submit false or misleading information.

• Attempt unauthorized access to website systems or accounts.

• Transmit malicious software or interfere with website functionality.

• Copy or commercially exploit website content without authorization.

• Use automated systems or scraping tools in violation of applicable access restrictions.

• Engage in conduct that threatens the security, operation, or integrity of our Services.

Duo Threads may restrict or terminate access for violations of these Terms.

Automated software, bots, artificial intelligence agents, and other automated systems may not access, scrape, or interact with our Services in violation of our published access restrictions or applicable law.

Duo Threads reserves the right to implement technical measures to protect website security, restrict unauthorized automated activity, and prevent abuse of its Services.

Automated systems must comply with applicable website access requirements and may not circumvent security controls or misrepresent their identity.

21. Account Suspension & Termination

Duo Threads reserves the right to suspend, restrict, or terminate wholesale account privileges for violations of these Terms, applicable retailer agreements, payment obligations, licensing requirements, or other material wholesale policies.

Termination of account access does not eliminate outstanding payment obligations or other responsibilities arising before termination.

Provisions intended to survive termination, including intellectual property, payment obligations, liability limitations, and dispute-related provisions, will remain applicable to the extent permitted by law.

22. Disclaimer of Warranties

Except as expressly stated by Duo Threads or required by applicable law, our website, Services, and products are provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, Duo Threads disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited.

We do not guarantee that access to our website will be uninterrupted, error-free, or continuously available.

Nothing in this section limits warranties or remedies that cannot legally be excluded.

23. Limitation of Liability

To the fullest extent permitted by applicable law, Duo Threads and its owners, officers, employees, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of our Services or the purchase of merchandise.

This includes, without limitation, lost profits, lost revenue, business interruption, or loss of business opportunities, except where such limitations are prohibited by applicable law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

24. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Duo Threads and its affiliates, officers, employees, and representatives from third-party claims, damages, liabilities, and reasonable legal expenses arising from:

• Your material breach of these Terms.

• Your violation of applicable laws or licensing requirements.

• Your infringement of another party's intellectual property rights.

• Your unauthorized use of Duo Threads merchandise, branding, artwork, or Services.

Duo Threads will provide reasonable notice of applicable claims and an opportunity to cooperate in the defense of such claims.

25. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

26. Waiver & Entire Agreement

Failure by Duo Threads to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.

These Terms, together with applicable wholesale policies and any separately executed written agreements, constitute the terms governing the wholesale relationship to the extent applicable.

If a separately executed written agreement expressly addresses a matter differently, that agreement will control for that matter unless otherwise specified.

27. Assignment

Retailers may not transfer or assign their wholesale accounts, rights, or obligations under these Terms without prior written consent from Duo Threads.

Duo Threads may assign its rights or obligations as permitted by applicable law.

28. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles.

Subject to applicable law, disputes arising under these Terms will be resolved in the appropriate courts located in Michigan.

29. Electronic Communications

By using our Services or placing an order, you agree to receive transactional and service-related communications electronically.

These communications may include order confirmations, production updates, shipment notifications, account information, policy updates, and other relevant business communications.

Retailers are responsible for maintaining accurate contact information.

Marketing communications will be handled in accordance with applicable law and our Privacy Policy.

30. Changes to These Terms

Duo Threads reserves the right to update or modify these Terms of Service to reflect operational changes, business requirements, or legal obligations.

Revised Terms will be posted on our website with an updated effective date.

Material changes will be communicated when required by applicable law.

Continued use of our Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
